Terms of Service / Credit & Digitizing Agreement

1. Parties

Sold by Schultz Software Solutions. Schultz Software Solutions sells this logo digitizing service and is the contracting seller. You (the account holder) buy digitizing work from Schultz Software Solutions.

Licensed by Victory AI Incorporated (IP / brand — victoryinc.world). Victory AI Incorporated licenses brand, site software, and related intellectual property used to operate this service. It is not the seller, not the merchant of record, and does not run checkout on this host.

Payments processed by S3 Agency (Kentucky operations). Card charges run through Stripe on S3 Agency’s Stripe account (Victory Inc is S3 Agency’s DBA). Stripe does not settle to Victory AI Incorporated or victoryinc.world.

You are the account holder: the person or company that creates this login, accepts these terms, loads credits, and submits artwork from the account’s primary email.

2. No Victory AI Incorporated merchant account

There are no customer payment accounts on Victory AI Incorporated as merchant of record. Prepaid credits, Checkout, saved cards, and auto-reload charges are processed by S3 Agency for sales by Schultz Software Solutions. The apex site victoryinc.world is the holdco / licensor site and is not a cart.

3. Prepaid credits, price, and Kentucky tax

• Minimum credit load: $20.00.
• Credits are a prepaid account balance for this service — not cash, not a gift card, not transferable.
• Digitizing fee: $2.50 per logo.
• Kentucky sales and use tax: 6% on the logo fee = $0.15.
• Amount charged against credits per job: $2.65 ($2.50 + $0.15).

Receipts show separate lines: fee $2.50, KY sales and use tax $0.15, total $2.65. Tax is on the logo fee. Prepaid credit loads are not the taxable line.

When credits are deducted: $2.65 is deducted when you submit a job on this site (upload / record request). That creates the receipt. Ops then emails prepared files. Unused credits are not cash and are not refundable except as required by law or under the 24-hour money-back guarantee in section 5.

4. 30-minute response — service target

We aim to email prepared files to your account’s primary email within 30 minutes of a valid submitted job (and matching artwork emailed from that address to logo@victoryinc.world when needed).

Thirty minutes is a service target, not a penalty clause and not a promise of unlimited damages if we are late. If we miss it, email ops@victoryinc.world. The 24-hour money-back guarantee after you receive files is the stated remedy for dissatisfaction with delivered work.

5. 24-hour money-back guarantee

If you have a problem after you receive the files, email a complaint to ops@victoryinc.world within 24 hours of that receipt. We will refund the $2.65 deducted for that logo (fee + tax) as a credit back to your account.

This guarantee does not convert unused prepaid credits to cash, does not cover quoted banner / special-request fees already accepted, and does not apply to jobs refused because the artwork was unauthorized or illegal.

6. Artwork warranty and indemnity

You warrant that you own the artwork or are licensed / authorized to have it digitized and used for embroidery, promotional products, apparel, or printing.

You will indemnify and hold harmless Schultz Software Solutions, S3 Agency, and Victory AI Incorporated against claims, damages, and costs (including reasonable attorneys’ fees) arising from intellectual-property or publicity claims related to artwork you submitted.

7. Delivery, file types, and scale

• Delivery is by email from / to logo@victoryinc.world and your account primary address. Email the image from that primary address.
• You must select exactly six included file types from the catalog (for example DST, PES, EXP, JEF, VP3, XXX, EMB, SVG, EPS, PDF, PNG, AI). Jobs are delivered in those six types.
• Max high-quality scale 30 inches × 30 inches is included. Large banners and special requests are extra and quoted before we proceed.

8. Auto-reload authorization

If you enable auto-reload and save a payment method on S3 Agency’s Stripe account, you authorize S3 Agency to charge that method for at least $20.00 (or enough to restore your minimum-balance setpoint, in $20 minimum increments as implemented) when a job would take your balance below the setpoint or below $2.65. You may switch back to manual reload in the dashboard at any time. Manual reload means you load $20+ when you choose.

9. Adult commercial use

This service is for adult commercial use by embroidery, promotional products, apparel, and custom printing companies (and similar trade customers). It is not for minors. We do not digitize illegal marks, counterfeit branding, or artwork you are not authorized to use. We may refuse or cancel jobs that appear infringing or unlawful and will not be obligated to deliver files in those cases.

10. Kentucky law and venue

These terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in Kentucky, where S3 Agency operates payments. You consent to personal jurisdiction there.

11. Accounts

Provide an email you control. That address is how we match incoming artwork and how we return files. Keep the password secure. We may close accounts that abuse the service, submit unauthorized IP, or attempt payment fraud.

12. Limit of liability

Except where the law does not allow it, liability is limited to the amount deducted for the affected job. We are not liable for lost production time, hoopings that fail on a machine we were not given specs for, or consequential damages. Late delivery does not create unlimited damages (see section 4).

13. Changes

We may update these terms. The version and timestamp you accepted are stored on your account. Material changes will require a new acceptance before you place further orders.
